IMPORTANT NOTICE — PLEASE READ CAREFULLY

These Terms of Service ("Terms") are a legally binding agreement between you ("you", "your", "User") and The Hiring Planet, the partnership firm that owns and operates the brand and platform "Hireinst" ("Hireinst", "we", "us", "our", the "Platform"). These Terms govern your access to and use of the Hireinst website at https://www.hireinst.com/, any Hireinst mobile applications, and all related services, features, content and functionality (collectively, the "Services").

By creating an account, accessing, browsing, or using the Services in any manner, you confirm that you have read, understood and agree to be bound by these Terms, our Privacy Policy, and all other policies referenced in Clause 3 below. If you do not agree to these Terms, you must not access or use the Services.

These Terms are an electronic record under the Information Technology Act, 2000 and the rules made thereunder, and do not require any physical or digital signature. This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 that require publishing of the rules and regulations, privacy policy and terms of use for access or usage of the Platform.


1. DEFINITIONS

In these Terms, unless the context requires otherwise:

1.1. "Account" means the account you register to access and use the Services.

1.2. "Applicable Law" means all applicable Indian statutes, rules, regulations, notifications, guidelines and orders in force, including the Indian Contract Act, 1872; the Information Technology Act, 2000 and rules thereunder; the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020; the Digital Personal Data Protection Act, 2023 and the rules thereunder; and the Indian Partnership Act, 1932, each as amended from time to time.

1.3. "Content" means any information, text, images, photographs, resumes, logos, job postings, profiles, messages, reviews, ratings, documents, or other material posted, uploaded, transmitted or otherwise made available on or through the Services.

1.4. "Employer" or "Restaurant" means a User who registers on the Platform with the role of a restaurant operator or hospitality establishment for the purpose of discovering, contacting, and hiring Workers. Employer-specific terms are set out in the separate Employer (Restaurant) Terms.

1.5. "Grievance Officer" means the officer designated by us under Clause 22 and under Applicable Law.

1.6. "Platform Content" means all Content owned by or licensed to Hireinst, including the software, design, interface, trademarks, logos, and databases comprising the Services, but excluding User Content.

1.7. "Services" has the meaning given in the Notice above.

1.8. "Subscription" means a paid plan purchased by an Employer that unlocks specified paid features, as described in the Subscription & Billing Terms.

1.9. "User Content" means Content that you submit, post, or make available on the Services.

1.10. "Verification" means the identity- and eligibility-checking processes described in Clause 8 and in the separate Verification Policy.

1.11. "Worker" means a User who registers on the Platform with the role of a hospitality job seeker (including but not limited to chefs, cooks, bartenders, waiters, captains, stewards, helpers, and cleaners). Worker-specific terms are set out in the separate Worker Terms.


2. ABOUT HIRSEINST AND THE NATURE OF THE PLATFORM

2.1. We are a technology platform and intermediary only. Hireinst is a two-sided online marketplace that enables Restaurants and Workers in the hospitality sector in India to discover one another, communicate, and independently arrive at their own hiring arrangements. Hireinst acts solely as an "intermediary" within the meaning of Section 2(1)(w) of the Information Technology Act, 2000.

2.2. We are not an employer, recruiter, staffing agency, or party to any hiring. Hireinst does not employ Workers, does not recruit on behalf of Restaurants, is not a placement or manpower agency, and is not a party to any employment, engagement, contract, offer, negotiation, or arrangement between a Worker and a Restaurant. Any contract of employment or engagement is a direct and independent matter solely between the Worker and the Restaurant.

2.3. No guarantee of outcomes. We do not guarantee that any Worker will be hired, that any Restaurant will find suitable staff, that any job posting is genuine or lawful, that any Worker's profile is accurate, or that any communication will result in employment. We do not guarantee the conduct, qualifications, honesty, or suitability of any User.

2.4. Independent verification remains your responsibility. While Hireinst may operate certain Verification and review measures (see Clause 8), these are limited signals and are not a warranty. Restaurants remain solely responsible for conducting their own due diligence, background checks, reference checks, and statutory compliance (including in relation to wages, working conditions, and labour laws) before engaging any Worker. Workers remain solely responsible for satisfying themselves as to the legitimacy of any Restaurant, job, and offer before accepting any engagement.

2.5. Content is provided by Users. The vast majority of Content on the Platform (profiles, job postings, messages, logos, reviews) is created by Users and not by Hireinst. We do not endorse, verify the accuracy of, or accept responsibility for User Content, save as expressly required by Applicable Law.


3. THE AGREEMENT AND RELATED POLICIES

3.1. These Terms incorporate by reference, and you agree to be bound by, the following policies, each of which is published on the Platform and forms part of your agreement with us:

3.2. If there is a direct conflict between these Terms and a role-specific document (Employer Terms or Worker Terms) in relation to that role, the role-specific document prevails for that role. In all other cases these Terms prevail unless the specific policy expressly states otherwise.


4. ELIGIBILITY

4.1. Minimum age. You must be at least 18 (eighteen) years of age to create an Account or use the Services. The Services are not directed to, and may not be used by, any person under 18. By using the Services you represent and warrant that you are 18 or older.

4.2. Capacity. You must be competent to enter into a legally binding contract under the Indian Contract Act, 1872. If you are using the Services on behalf of a Restaurant or other entity, you represent and warrant that you are authorised to bind that entity to these Terms, and "you" refers to both you and that entity.

4.3. Compliance. You must not be a person barred from receiving or using the Services under Applicable Law. Your use of the Services must comply with all laws applicable to you.

4.4. If we reasonably believe you do not meet these eligibility requirements, we may refuse, suspend, or terminate your access without liability.


5. ACCOUNTS AND SECURITY

5.1. Registration. To access most features you must register an Account and provide accurate, current, and complete information, including a valid mobile number for one-time-password (OTP) based verification. You agree to keep your information updated.

5.2. One role. Your Account is associated with a single role (Worker or Employer), which is set during onboarding and may be treated as immutable once set. If you require a different role you may be required to register a separate Account, subject to our policies.

5.3. Account security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must notify us immediately at support@hireinst.com of any unauthorised use or suspected breach of security. We are not liable for any loss arising from your failure to safeguard your credentials.

5.4. Accurate identity. You must not impersonate any person or entity, create an Account using another person's details, or misrepresent your identity, affiliation, qualifications, or the details of any restaurant, job, or profile.

5.5. One person, genuine accounts. You must not create Accounts by automated means, maintain multiple Accounts to evade restrictions, or transfer or sell your Account to any other person.


6. ROLES: WORKERS AND EMPLOYERS

6.1. Workers. Workers may create a profile (which may include a photograph and resume), search and view job postings, apply to jobs, track application status, and communicate with Restaurants through the Platform, subject to the Worker Terms and our other policies.

6.2. Employers / Restaurants. Restaurants may claim or create a restaurant listing, complete onboarding, post jobs, review and manage applicants, schedule interviews, and communicate with Workers, subject to the Employer (Restaurant) Terms, the Subscription & Billing Terms, and our other policies. Certain features (such as revealing Worker contact details, unlimited job postings, or priority listing) may require a paid Subscription.

6.3. Who may initiate contact. To protect Workers from unsolicited contact, initial contact through the Platform's messaging feature may be initiated only by Restaurants. Workers may respond to Restaurants who have contacted them, and may apply to jobs, but the first message in a conversation is initiated by the Restaurant. We may modify this rule to improve safety, subject to notice.


7. LICENCE TO USE THE SERVICES

7.1. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services for their intended purpose — namely, lawful hospitality hiring in India.

7.2. This licence does not permit you to: (a) resell, rent, or commercially exploit the Services or any Platform Content; (b) scrape, harvest, crawl, index, or systematically extract data from the Platform, whether by automated or manual means; (c) reverse engineer, decompile, or attempt to derive the source code of the Services; (d) use the Services to build or train any competing product, dataset, or model; (e) frame, mirror, or deep-link the Services without our written consent; or (f) remove or obscure any proprietary notices.

7.3. All rights not expressly granted to you are reserved by Hireinst and its licensors.


8. VERIFICATION

8.1. Verification is a signal, not a guarantee or approval. We may operate Verification processes, including OTP verification of mobile numbers and, for certain Users, review of identity or eligibility documents. Verification is one signal among several; it confirms limited facts (for example, access to a phone number) and does not constitute our approval, endorsement, or guarantee of any User, and does not automatically approve any restaurant claim, which remains subject to review by our team.

8.2. KYC / identity documents — limited retention. Where we collect identity documents such as an Aadhaar card and/or PAN card for Verification, we retain such identity documents for a maximum of 30 (thirty) days, and we delete them once Verification is completed or upon expiry of that 30-day period, whichever is earlier, except where longer retention is strictly required by Applicable Law. Full details are set out in the Verification Policy and the Data Retention & Deletion Policy.

8.3. Restaurant claims. A claim to a restaurant listing may require OTP verification and remains subject to review and approval by our team before it takes effect. We may reject, revoke, or suspend a claim at our reasonable discretion, including on the basis of reports, flags, or suspected misuse.

8.4. Your obligations. You must provide true, accurate, and lawful information and documents for Verification, and must have the right to submit any document you provide. Submitting forged, altered, or fraudulent documents is a serious breach of these Terms and may be reported to law-enforcement authorities.


9. USER CONTENT AND OWNERSHIP

9.1. You own your Content. As between you and Hireinst, you retain all ownership rights in the User Content you submit. In particular, restaurant logos and brand marks uploaded by a Restaurant remain owned by that Restaurant (or its licensors), and are not claimed by Hireinst.

9.2. Licence you grant to us. Solely to operate, provide, promote, secure, and improve the Services, you grant Hireinst a worldwide, non-exclusive, royalty-free, sublicensable (to our service providers), and transferable licence to host, store, reproduce, display, adapt (for formatting and display purposes), and distribute your User Content on and through the Services. This licence exists only for so long as your User Content is on the Platform, and ends when your User Content is deleted, save that (a) we may retain residual copies in backups for a limited period, and (b) Content already shared with other Users (such as a message or an application) may persist with those Users.

9.3. Your responsibility for Content. You represent and warrant that you own or have all necessary rights to your User Content, and that your User Content does not infringe any third-party rights or violate Applicable Law, these Terms, the Acceptable Use Policy, or the Community Guidelines.

9.4. No obligation to publish. We may, but are not obliged to, review, screen, refuse, edit for formatting, remove, or disable access to any User Content, in accordance with the Content Moderation Policy and Applicable Law.

9.5. Feedback. If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free right to use it without obligation to you.


10. ACCEPTABLE USE AND PROHIBITED CONTENT

10.1. Your use of the Services is subject to the Acceptable Use Policy and Community Guidelines, which are incorporated into these Terms. You agree not to host, display, upload, modify, publish, transmit, store, update, share, or otherwise make available any information or Content that, among other things:

(a) belongs to another person and to which you do not have any right; (b) is defamatory, obscene, pornographic, paedophilic, invasive of another's privacy (including bodily privacy), insulting or harassing on the basis of gender, libellous, racially or ethnically objectionable, or otherwise inconsistent with or contrary to Applicable Law; (c) is harmful to a child; (d) infringes any patent, trademark, copyright, or other proprietary right; (e) violates any law for the time being in force; (f) deceives or misleads the recipient about the origin of the message, or knowingly and intentionally communicates any information which is patently false or misleading in nature but may reasonably be perceived as a fact; (g) impersonates another person; (h) threatens the unity, integrity, defence, security, or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognisable offence, or prevents investigation of any offence, or is insulting to any other nation; (i) contains a software virus or any other computer code, file, or program designed to interrupt, destroy, or limit the functionality of any computer resource; (j) is patently false or untrue and is written or published in any form with the intent to mislead or harass a person, entity, or agency for financial gain, or to cause any injury to any person.

10.2. You further agree not to: solicit fees, deposits, or payments from Workers as a condition of a job; demand money for interviews, "registration", uniforms, or training as a precondition to hiring in a manner that is fraudulent; post fake or misleading job listings or profiles; post reviews while falsely representing yourself as a genuine, independent user; manipulate ratings, rankings, or search results; circumvent paywalls or contact-reveal controls; harvest contact details for spam; or engage in any unfair trade practice.

10.3. We may remove Content and suspend or terminate Accounts that breach this Clause, in accordance with the Content Moderation Policy.


11. COMMUNICATIONS AND MESSAGING

11.1. The Platform provides a messaging feature to enable Workers and Restaurants to communicate for legitimate hiring purposes. As stated in Clause 6.3, initial contact is initiated by Restaurants.

11.2. You must use messaging lawfully and respectfully. You must not use messaging to harass, threaten, defraud, spam, solicit money unlawfully, share obscene material, or contact any person who has indicated they do not wish to be contacted.

11.3. We may monitor, store, and review communications where we have reason to do so (for example, in response to reports or flags), for safety, legal compliance, and enforcement, in accordance with the Privacy Policy, the Content Moderation Policy, and Applicable Law. This does not create any obligation on us to monitor all communications.

11.4. By registering, you consent to receive service-related and transactional communications from us (including by email, SMS, WhatsApp, in-app, and push notifications) necessary to provide the Services. You may manage certain communication preferences in your settings, subject to our need to send essential transactional messages.


12. SUBSCRIPTIONS, FEES AND PAYMENTS

12.1. Certain features are free, and certain features require a paid Subscription. The features, plans, prices, billing cycles, and taxes applicable are described in the Subscription & Billing Terms and on our pricing page at https://www.hireinst.com/pricing.

12.2. Explicit consent. We record your consent to any purchase only through your explicit and affirmative action. We do not record consent through pre-ticked checkboxes or by default.

12.3. Payments and processors. Payments are processed through third-party payment service providers. You agree to the applicable payment processor's terms. We do not store your full card details; these are handled by the payment processor in accordance with Reserve Bank of India requirements.

12.4. Taxes. All fees are exclusive of applicable taxes (including GST) unless stated otherwise. You are responsible for applicable taxes on your purchase. Our GSTIN is 36AAVFT6494L1Z0.

12.5. No refunds. Save as expressly stated in the Refund & Cancellation Policy or as required by Applicable Law, fees are non-refundable. A free plan is available so that you may evaluate the Services before purchasing a paid plan. Full details, including any statutory exceptions, are in the Refund & Cancellation Policy.


13. THIRD-PARTY SERVICES AND LINKS

13.1. The Services rely on and may link to third-party services (including authentication, messaging, payment, cloud storage, and analytics providers). Your use of those services may be governed by their own terms and privacy policies. We are not responsible for third-party services, and their inclusion does not imply our endorsement.

13.2. Any dealings you have with third parties through the Services (including any Restaurant or Worker) are solely between you and that third party.


14. INTELLECTUAL PROPERTY

14.1. Our IP. The Platform, the Services, and all Platform Content (including the "Hireinst" name and logo, software, source code, design, text, graphics, and databases) are owned by or licensed to The Hiring Planet and are protected by intellectual-property laws. Except for the limited licence in Clause 7, no rights are granted to you.

14.2. Trademarks. "Hireinst" and associated marks are our trademarks. You may not use them without our prior written consent. Restaurant logos and marks remain the property of the respective Restaurants as stated in Clause 9.1.

14.3. Infringement claims. If you believe Content on the Platform infringes your intellectual-property rights, you may submit a notice under our Intellectual Property & Takedown Policy.


15. PRIVACY AND DATA PROTECTION

15.1. Our collection and processing of personal data is governed by our Privacy Policy and Data Retention & Deletion Policy, which explain what data we collect, why, how long we keep it, and the rights available to you under the Digital Personal Data Protection Act, 2023 and other Applicable Law.

15.2. By using the Services, you acknowledge that you have read the Privacy Policy. Where we rely on your consent to process personal data, you may withdraw that consent as described in the Privacy Policy, subject to the consequences described there.


16. CONTENT MODERATION AND ENFORCEMENT

16.1. We operate reactive content moderation: where we receive a report or flag, or otherwise become aware of Content or conduct that may violate these Terms or Applicable Law, we may review it and take action, including removing Content, limiting features, warning, suspending, or terminating Accounts. Our processes and timelines are set out in the Content Moderation Policy and Grievance Redressal Policy.

16.2. We will remove or disable access to Content within the timelines required by Applicable Law upon receipt of a valid order of a court or a competent government authority, and we will remove non-consensual intimate imagery within the timelines required by law upon a valid complaint.


17. SUSPENSION AND TERMINATION

17.1. By you. You may stop using the Services and request deletion of your Account at any time, as described in the Data Retention & Deletion Policy.

17.2. By us. We may suspend or terminate your access, in whole or in part, with or without notice, if: (a) you breach these Terms or any incorporated policy; (b) we are required to do so by Applicable Law or a competent authority; (c) your conduct poses a risk to other Users, third parties, or us; (d) you provide false Verification information; or (e) for prolonged inactivity or for legitimate operational reasons.

17.3. Effect. On termination, your licence to use the Services ends. Clauses that by their nature should survive (including Clauses 2, 9.2, 14, 18, 19, 20, 21, 22, 23, and 24) survive termination. We handle post-termination data in accordance with the Data Retention & Deletion Policy.

17.4. Annual reminder. At least once every year, we will inform Users that non-compliance with these Terms, the rules and regulations, and the Privacy Policy may result in termination of access and/or removal of non-compliant Content.


18. DISCLAIMERS

18.1. "As is". The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by Applicable Law, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

18.2. No hiring guarantee. We do not warrant that use of the Services will result in any hiring, employment, engagement, wage, placement, or income, or that any job posting, profile, or User is genuine, lawful, safe, solvent, or suitable.

18.3. No background-check warranty. We are not a background-verification, credit-checking, or reference-checking agency. Any Verification we perform is limited and does not replace your own due diligence.

18.4. Availability. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

18.5. User interactions. You are solely responsible for your interactions with other Users. We are not responsible for the conduct of any User, whether online or offline, and disclaim liability for any dispute between Users, including any employment dispute, non-payment of wages, workplace safety issue, or misrepresentation.


19. LIMITATION OF LIABILITY

19.1. To the maximum extent permitted by Applicable Law, in no event will The Hiring Planet, its partners, employees, agents, or service providers be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, goodwill, business opportunity, wages, or employment, arising out of or in connection with your use of (or inability to use) the Services, whether based in contract, tort, statute, or otherwise, even if advised of the possibility of such damages.

19.2. To the maximum extent permitted by Applicable Law, our total aggregate liability arising out of or relating to the Services and these Terms will not exceed the greater of (a) the total fees actually paid by you to us in the 3 (three) months immediately preceding the event giving rise to the claim, or (b) INR 1,000 (Indian Rupees One Thousand).

19.3. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under Applicable Law, including liability for fraud or for death or personal injury caused by our proven negligence.


20. INDEMNIFICATION

20.1. You agree to indemnify, defend, and hold harmless The Hiring Planet and its partners, employees, and agents from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use or misuse of the Services; (b) your User Content; (c) your breach of these Terms or any incorporated policy; (d) your violation of Applicable Law or of any third party's rights; or (e) any dispute between you and another User.


21. INTERMEDIARY STATUS AND SAFE HARBOUR

21.1. Hireinst is an intermediary and observes the due-diligence requirements under the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. In accordance with Section 79 of that Act, we are not liable for third-party Content that we merely host or transmit, provided we observe the applicable due diligence. Our removal or moderation of Content, where undertaken, does not make us the author or publisher of User Content.


22. GRIEVANCE REDRESSAL AND CONTACT

22.1. In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and the Consumer Protection (E-Commerce) Rules, 2020, the following officer is designated to receive and address complaints:

22.2. Timelines. The Grievance Officer will acknowledge a complaint within 24 (twenty-four) hours of receipt and will endeavour to dispose of it within 15 (fifteen) days, and in any event within 1 (one) month, from receipt, consistent with the timelines under Applicable Law. Complaints concerning content that exposes a person's private area, shows full or partial nudity, depicts a sexual act, or is in the nature of impersonation (including morphed images) will be actioned within 24 (twenty-four) hours.

23. GOVERNING LAW AND DISPUTE RESOLUTION

23.1. Governing law. These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by and construed in accordance with the laws of India.

23.2. Amicable resolution. The parties will first attempt to resolve any dispute amicably by raising it with the Grievance Officer.

23.3. Arbitration. If a dispute is not resolved within 30 (thirty) days of being raised, it will be referred to and finally resolved by arbitration by a sole arbitrator appointed in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Hyderabad, Telangana, and the language will be English. This clause does not prevent either party from seeking urgent interim relief from a competent court.

23.4. Jurisdiction. Subject to the arbitration clause above, the courts at Hyderabad, Telangana, India will have exclusive jurisdiction over any matter arising out of or relating to these Terms.

23.5. Nothing in this Clause affects any right you have to approach a Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019, or the Data Protection Board under the Digital Personal Data Protection Act, 2023, where applicable.


24. CHANGES TO THESE TERMS

24.1. We may amend these Terms and any incorporated policy from time to time. When we make material changes, we will update the "Last Updated" date and, where appropriate, notify you (for example, by email, in-app notice, or a prominent notice on the Platform).

24.2. Your continued use of the Services after changes take effect constitutes acceptance of the amended Terms. If you do not agree to a change, you must stop using the Services and may request deletion of your Account.


25. GENERAL

25.1. Entire agreement. These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and us regarding the Services and supersede any prior agreements.

25.2. Severability. If any provision is held invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will continue in full force.

25.3. No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

25.4. Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of assets, or by operation of law.

25.5. Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, pandemics, war, civil unrest, strikes, failures of telecommunications or internet service, power failures, or governmental action.

25.6. Relationship. Nothing in these Terms creates any partnership, joint venture, agency, franchise, or employment relationship between you and us, or between any Worker and Hireinst, or between any Restaurant and Hireinst.

25.7. Notices. Legal notices to us must be sent to legal@hireinst.com and to the postal address in Clause 22.1. We may give you notice via the email or mobile number associated with your Account, or by posting on the Platform.

25.8. Language. These Terms are drafted in English. Any translation is provided for convenience only; in the event of conflict, the English version prevails to the extent permitted by Applicable Law.


26. PLATFORM AND ENTITY DISCLOSURES (Consumer Protection (E-Commerce) Rules, 2020)
